Obtaining C5 visa for business immigrant from Uzbekistan

REQUEST: a foreign citizen of Uzbekistan contacted us with the purpose of opening a legal entity on the territory of the Republic of Kazakhstan. The authorized body informed us that in order to register the company in the Department of Justice it will be necessary to obtain a C5 visa for a business immigrant from Uzbekistan.

What is primary: registration of a legal entity or C5 visa for a business immigrant from Uzbekistan? This issue was raised several times and two authorized agencies redirected the foreign employee.

SOLUTION: we took up the work and wrote an official written requests to each Aythority asking to provide references to legislative acts. Uzbekistan and Kazakhstan have a visa-free regime. Thus, obtaining a C5 business immigrant visa for a citizen of Uzbekistan is generally not practiced. But there is a solution. Having received answers to our inquiries, we were able to issue a temporary residence permit of the necessary category and register a legal entity. The procedure took 22 business days.

Below we provide a step-by-step plan of actions for registering a legal entity by a business immigrant from Uzbekistan.

Step №1. Company name

The initial step for registration of a Limited Liability Partnership (LLP) for a foreign citizen, in our case a citizen of Uzbekistan, in the Republic of Kazakhstan is to choose a unique company name. Before deciding on the name, it is necessary to check the availability of registered LLPs with a similar name through the official portal egov.kz. If there is no company with the selected name, the name can be used for registration.

Step No. 2. Collection of necessary documents for registration of LLP 

List of documents:

1. Resolution of the sole participant;
2. Power of attorney (if the documents will be submitted by an authorized person).
3. Application (to be filled in on the form of the Central Office on site or in advance);

What information will be needed to fill the above documents:

1. The amount of the authorized capital;
2. Type of business category (small, medium, large);
3. Address of the legal entity;
4. Code of the main type of economic activity;
5. Approximate number of employees;
6. IIN;
7. Very important point. If the name of the company is preferred in one particular language, you need to specify it in all the name paragraphs in the application form;
8. Whether the LLP will be a VAT payer or not.

Step No. 3. Registration of the application

After collecting the package of documents, it is necessary to apply to the Public Service Center at the place of address of the planned registration of the LLP. The processing time is up to 5 working days. After receiving a notification that the document is ready, it is necessary to come to the Public Service Center and receive a certificate of registration of the company based on the number of the receipt (application) and the original power of attorney (+ copy if the documents were submitted by power of attorney).

Step №4. Registration of the company seal

List of documents:

1. Resolution;
2. Power of attorney.

Timeline: 1 business day.

Step №5. Opening an account of a legal entity

List of documents:

1. Resolution;
2. Order;
3. Application (provided by the bank);
4. Questionnaire (provided by the bank);
5. Constituent documents of the company (articles of association, resolution/protocol of the meeting)
6. Identity document and proof of residence on the territory of the Republic of Kazakhstan (if non-resident).

Timeline: within a week the documents are considered by the bank, after approval the account opening takes 1 business day.
